All services are subject to our terms of service, as specified herein.

Elizabeth Maxwell Media will complete the work in accordance with its Terms of Service and to the specifications agreed upon with the client. Elizabeth Maxwell Media will not initiate changes to the specifications of the work which would increase the cost, without prior authorization from the client.

The client will supply all materials and information required for Elizabeth Maxwell Media to complete the work in accordance with the agreed specifications including photos, written copy, and logos. Content will be delivered in an organized folder or file and in a format that can be copy and pasted.

Where the client's failure to supply such assets leads to a delay in completion of the work, Elizabeth Maxwell Media has the right to extend previously agreed deadlines for the completion of the work. Where the client's failure to supply materials prevents progress on the work for more than 14 days, Elizabeth Maxwell Media reserves the right to invoice the client for any part(s) of the work already completed.

The client will obtain all necessary permissions for the use of all copy, graphic images, registered company logos, names and trademarks or any other material it supplies to Elizabeth Maxwell Media for inclusion on print or web. By agreeing to these Terms of Service, the Client removes the legal responsibility of Elizabeth Maxwell Media and indemnifies the same from any claims or legal actions however related to the content of a Client’s print or website.

Upon completion of the work, the client will be notified and have the opportunity to review it and request revisions in accordance with the project specifications agreed upon between Elizabeth Maxwell Media and the client.

It is the responsibility of the client to proof the work including spelling, grammar and layout. Artwork corrections and amendments must be clearly indicated in writing by the client. Changes, alterations or omissions requested by the client after final approval has been given will result in additional fees.

Proposals and offers are valid for a period of 90 days from the date issued.

Failure to pay for any service(s) may result in the suspension of the hosting account or removal of uploaded files, including high resolution print files and website files, no less than 30 days after the due date of the final invoice and will result in additional late charges.

In the case of web design, the site will not be transferred to a third party or the client's hosting account until payment has been made in full. Websites not paid for in full will remain on a hosting account provided by Elizabeth Maxwell Media for no less than 30 days after payment is due at which time, they will be removed if the account has not been paid in full.

No credit will be due to the client in the case where files are removed due to non-payment or incomplete payment.

Accounts overdue by 90 days will be referred to collections.

In the case where website design services are provided, Elizabeth Maxwell Media takes no responsibility for the maintenance of the website after the work has been completed unless a maintenance agreement in place. Where a maintenance agreement is not in place, maintenance requested by the client will be billed at the current hourly rate with a 30 minute minimum.

In the case where website design services are provided, Elizabeth Maxwell Media will ensure that the site description accurately reflects the content of the site and the requests of the client prior to launch, however we cannot guarantee that the site will appear in any given position or rank for any given search term within a search engine’s results, that a currently unlisted site will appear in the search engines’ results, or that a currently listed website will remain listed within the search engine results indefinitely.

In the case where merchandise or print design services are provided, Elizabeth Maxwell Media will communicate with the vendor with regards to artwork and file submission only. It is the responsibility of the client to submit and confirm all details of account and/or order, give final approval of the artwork, coordinate shipping, and to cover all payments.

Elizabeth Maxwell Media owns the copyright to the work until payment has been made in full by the client, at which time ownership of the final design and files is transferred to the client with the exception of fonts and other items that may have been sourced from a third party including stock artwork or photography. Elizabeth Maxwell Media reserves the right to use the final work for promotional material and for tenders for new work.

For any design project, only the final version of the work and the design becomes the property of the client upon payment, with the exception of fonts and other items that may have been sourced from a third party including stock artwork or photography. Use by the client of any design or version of the work other than the final version is strictly prohibited except where Elizabeth Maxwell Media has granted permission. Use by the client of any design or version of the work other than the final version without approval by Elizabeth Maxwell Media may result in additional fees.

Elizabeth Maxwell Media is not responsible for permanent storage of files provided for use within your print design or web design project. Clients should keep a master copy of all media files including photos and videos.

Hosting accounts are to be used for website file storage and email only. Use of the hosting account to store or share media files or any intellectual property to which the client does not own the copyright is strictly prohibited and will result in immediate suspension of the hosting account. By making payment of an invoice or accepting a quotation or proposal, the clients acknowledges to have read, understood, and accepted the Terms of Service.
